1. Introduction
This Service Agreement ("Agreement") is entered into between “Hiifans AI Technology, Inc.” ("Company") and you ("Customer") regarding the use of our customer management system and SMS marketing services ("Services"). By using our Services, you agree to be bound by the terms and conditions of this Agreement.
2. Service Description
The Company will provide the Customer with a customer management system and SMS marketing services, which allows the Customer to manage customer information and send marketing SMS messages to their customers.
3. Customer Obligations
The Customer is responsible for providing accurate and complete customer information and ensuring that the use of the Services complies with all applicable laws, regulations, and industry guidelines. The Customer agrees not to use the Services for any illegal or fraudulent activities.
4. Service Fees
The Customer agrees to pay the Service Fees as specified in the Company's pricing plan. The Service Fees may be subject to change, and the Company will provide the Customer with advance notice of any changes.
5. Term and Termination
This Agreement shall remain in effect until terminated by either party. either party may terminate this Agreement at any time, for any reason, upon written notice to the other party. upon termination, the Customer agrees to cease using the Services and pay any outstanding fees.
6. Warranty Disclaimer
The Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Services will be uninterrupted or error-free, or that all errors will be corrected.
7. Limitation of Liability
The Company shall not be liable for any indirect, special, incidental, or consequential damages arising out of or related to this Agreement, including, without limitation, damages for loss of profits, loss of data, or business interruption.
8. Indemnification
The Customer agrees to indemnify and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of or in connection with the Customer's use of the Services.
9. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [Country/Region], without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively by the courts located in China.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, both written and oral, regarding the subject matter hereof.
By using our Services, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this Service Agreement.
